Business Owners · New York

Your business partner dies. Without a plan, the company dies with them.

Key-person insurance and buy-sell agreements are how New York businesses survive the unexpected. A 30-minute diagnostic shows exactly what your business needs.

Most NYC businesses have no succession plan — and find out at the worst moment

Two partners, five years in. The business is profitable. Then one partner has a stroke. The surviving partner can't buy out the estate. The estate's heirs want liquidity. Creditors circle. Employees leave. It happens in New York every year.

🤝

A buy-sell agreement without funding is just a piece of paper

Many business owners have a buy-sell agreement. Few have the funding mechanism — life insurance that gives the surviving partner the capital to actually execute the buyout instead of negotiating with a grieving family.

👤

Key-person risk is invisible until it's catastrophic

Who is the one person whose loss would most damage your revenue? If it's you, a partner, or a key employee — and there's no insurance on that person — your business is carrying unhedged risk.

🏦

Banks and investors increasingly require key-person coverage

NYC business lenders and VCs are asking for proof of key-person insurance before approving credit lines and term sheets. It's no longer optional in serious business financing conversations.

What NYC business owners ask about business protection insurance

Key-person insurance is a life insurance policy owned by the business, on the life of a critical employee or owner. The business pays the premiums and receives the death benefit. It's used to cover the cost of replacing the person, the revenue loss during transition, and to protect against loan defaults or investor withdrawals.
A properly funded buy-sell agreement pairs a legal agreement (who can buy, at what price) with a life insurance policy that creates the capital. On a partner's death, the policy pays out, the surviving partner uses that capital to buy the deceased partner's share from the estate, and the business continues under clear ownership.
Key-person and buy-sell coverage works for LLCs, S-corps, C-corps, and partnerships. The policy ownership structure and tax treatment vary by entity type — we model this in the Financial Resilience Diagnostic.
Key-person life insurance premiums are generally not tax-deductible when the business is the beneficiary. Buy-sell funding policies follow the same rule. The trade-off is that the death benefit is also generally received income-tax-free by the business. Consult your CPA for your specific structure.
No. APB Financial Architect is an independent insurance specialist, not a registered investment advisor or financial planner. The services here cover insurance products: life insurance, disability income, annuities, and voluntary benefits. For investment advice or securities, you'd need to work with a licensed investment advisor or broker-dealer. Insurance products are not securities and do not involve investment advice.
